Effects of the exemption
Air New Zealand Limited is able to distribute a short form prospectus to existing shareholders without including a copy of financial statements.

Background
Air New Zealand Limited intends to make a pro rata entitlement issue to existing shareholders. This will involve a renounceable offer to existing holders of ordinary shares, and an offer on a non-renounceable basis to the Crown as the holder of its convertible preference shares.

The exemption
Air New Zealand Limited is exempt from section 34(2)(a) of the Securities Act 1978 in respect of the rights issue.

Reasons
The rights offer will be made only to existing security holders, who will have already received a copy of the most recent financial statements of Air New Zealand Limited. It is consistent with the purpose of a short form prospectus that an exemption be granted to enable this document to be distributed without accompanying financial statements. Any shareholder is entitled to receive a copy of the most recent financial statements on request.
