Effects of the exemption
StoreFund Limited is able to include in their registered prospectus a prospective statement of cash flows that aligns with their financial year rather than the date of the prospectus.

Background
StoreFund Limited is a new company which proposes to offer shares to the public to fund the purchase of the BBQ Factory, and other investment in the retail sector.

The exemption
StoreFund Limited is exempted from clause 10(1)(c) of the First Schedule of the Securities Regulations 1983.

Conditions
The exemption is subject to the following conditions:

  • the registered prospectus contains prospective statements of cash flows for StoreFund Limited and its subsidiaries for each of the following periods:
    • 16 April 2004 to 30 June 2004; and
    • 1 July 2004 to 30 June 2005; and
  • the prospective statements of cash flows comply with clause 10(2) of the First Schedule of the Securities Regulations 1983.

Reasons
The exemption means that the prospective statements of cash flows for the period of the offer will be aligned with the issuer's normal accounting periods. This means that the prospective information will be more easily comparable to financial statements that are produced by the issuer. This will make the information of more use to investors.

The conditions of the exemption require -

  • the prospective information for periods comparable to that required under the Securities Regulations 1983; and
  • the prospective statements of cash flows to contain all the information normally required under those regulations
